Terms and Conditions

Welcome to ExpenseCount.

These Terms and Conditions ("Terms") explain the rules for using the ExpenseCount website and our mobile applications and services, including WeXpense, MessXpense, and MyXpense. Together, we refer to them as the "Services."

The Services are provided by ExpenseCount Inc. ("ExpenseCount," "we," "our," or "us"). ExpenseCount is a global service used by people around the world, and these Terms apply to all users regardless of location, unless a specific section states that it applies only to users in a particular country or region.

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

Nothing in these Terms limits any consumer right or legal protection that cannot be excluded under applicable law.

1. Who May Use the Services

The Services are intended for a general audience and are not specifically designed or directed to children under the age of 13, or the minimum age required by applicable local law, whichever is higher.

You may use the Services only if:

  • You meet the minimum age required in your country
  • You are legally allowed to use the Services
  • You can enter into a binding agreement under applicable law
  • Your use of the Services complies with applicable laws and regulations

If you are not old enough to enter into a binding agreement where you live, you should use the Services only with the permission and supervision of a parent or legal guardian.

2. What ExpenseCount Provides

ExpenseCount provides tools that help users record, organize, calculate, and manage personal or shared expense information.

Depending on the product and version you use, the Services may allow you to:

  • Record income and expenses
  • Create and manage budgets
  • Track shared expenses
  • Manage meals and shared living costs
  • Add group participants
  • Calculate balances and settlements
  • Upload invoices or related files
  • Synchronize information between supported devices
  • Share selected information with authorized participants
  • Use other expense management features made available by ExpenseCount

Features may vary by application, device, operating system, country, subscription plan, or app version.

ExpenseCount may add, change, limit, or remove features as the Services develop.

3. Accounts and Account Security

Some features may require an ExpenseCount account. When creating an account, you must provide a valid email address that you are authorized to use.

You are responsible for:

  • Keeping access to your email account and device secure
  • Preventing unauthorized access to your account
  • Using only accounts that belong to you or that you are authorized to access
  • Informing us if you believe your account has been compromised

You may not use another person's email address without permission, impersonate another person, or provide misleading account information.

You are generally responsible for activity carried out through your account unless the activity results from a security failure caused by ExpenseCount or applicable law provided otherwise.

4. Permission to Use the Services

Subject to these Terms, ExpenseCount gives you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Services. This right may be suspended or ended as described in Section 11.

You may use the Services for personal purposes or legitimate internal business purposes supported by the applicable product.

You may not:

  • Sell, rent, sublicense, or commercially redistribute the Services
  • Copy or modify the Services without permission
  • Attempt to access source code, except where applicable law expressly permits it
  • Remove copyright, trademark, or ownership notices
  • Use ExpenseCount branding without written permission
  • Use the Services in a way that violates these Terms

Using or purchasing an ExpenseCount product does not transfer ownership of the software, brand, designs, or other ExpenseCount property to you.

5. Information and Content You Add

The Services may allow you to add information such as:

  • Group and participant names
  • Income and expense records
  • Meal records
  • Payment and settlement information
  • Budget information
  • Categories, dates, notes, and descriptions
  • Currency selections
  • Invoices and related files
  • Other information you choose to provide

We refer to this information as "User Content."

You retain ownership of your User Content. You give ExpenseCount permission to host, store, process, display, synchronize, and transmit that content only as reasonably necessary to operate, secure, and support the Services.

You are responsible for ensuring that your User Content:

  • Is information you have the right to provide
  • Does not violate applicable law
  • Does not violate another person's privacy or intellectual property rights
  • Does not contain malware or harmful code
  • Is reasonably accurate for the purpose for which you use it

Do not upload passwords, full payment card details, government identification numbers, or other highly sensitive information that is not necessary to use the Services.

6. Group Sharing and Permissions

Some ExpenseCount products allow users to create groups and give other participants permission to access group information.

Depending on their assigned permissions, authorized participants may be able to:

  • View group information
  • View expenses, meals, payments, or settlements
  • Add or update records
  • Access uploaded invoices
  • Participate in calculations
  • Perform other actions available to their permission level

When adding information about another person, you are responsible for having a legitimate reason and any permission required to provide that information.

You are also responsible for:

  • Inviting the correct participants
  • Assigning permissions carefully
  • Reviewing who can access a group
  • Removing access when it is no longer needed
  • Avoiding the sharing of unnecessary sensitive information

Only invite people you trust. ExpenseCount is not responsible for an authorized participant's independent use, copying, or disclosure of information they were permitted to access.

7. Acceptable Use

You must use the Services responsibly and lawfully.

You may not use the Services to:

  • Break any applicable law or regulation
  • Create fraudulent or intentionally misleading records
  • Access another person's account or group without permission
  • Harass, threaten, deceive, or impersonate another person
  • Violate another person's privacy or intellectual property rights
  • Upload viruses, malware, or harmful code
  • Interfere with the operation or security of the Services
  • Bypass permissions, access controls, or security measures
  • Scrape or access the Services through unauthorized automated methods
  • Overload or disrupt our servers or systems
  • Create spam, abusive, or fraudulent groups
  • Help another person carry out prohibited activity

We may investigate suspected misuse and take reasonable action, including restricting access, removing content, suspending an account, or reporting unlawful activity where appropriate.

8. Expense Calculations and Financial Disclaimer

ExpenseCount is an expense recording, budgeting, and calculation tool.

It is not:

  • A bank or financial institution
  • A money transfer service
  • A lender or credit provider
  • A debt collection agency
  • A financial, tax, accounting, or legal advisor

Calculations, reports, balances, and settlement results depend on the information entered by users. Incorrect, incomplete, duplicated, or outdated entries may produce inaccurate results.

You are responsible for reviewing amounts before making a payment, settling a balance, preparing financial records, or making another financial decision.

ExpenseCount does not determine whether a legally enforceable debt exists and does not guarantee that another participant will make a payment or follow a suggested settlement.

Information provided through the Services is intended to help you organize expenses. It should not be treated as professional financial, accounting, tax, or legal advice.

9. Paid Features, Subscriptions, and Refunds

ExpenseCount may offer free features, one-time purchases, subscriptions, or other paid features.

The applicable price, billing period, currency, taxes, and included features will be displayed through Google Play, the Apple App Store, or the relevant purchase screen before you complete a purchase.

Payments for mobile app purchases are processed through:

  • Google Play
  • The Apple App Store

ExpenseCount does not directly collect or store your full credit or debit card number, card security code, or complete payment credentials.

If you purchase an automatically renewing subscription:

  • It may continue until you cancel it
  • Your app store account may be charged at the start of each billing period
  • Renewal details will be shown before purchase
  • You must manage or cancel it through the platform where it was purchased

Removing an ExpenseCount app from your device does not by itself manage or cancel a subscription.

Cancellation and refund requests are generally handled under the policies of Google Play or the Apple App Store. Canceling a subscription normally prevents future renewals but does not automatically refund previous charges.

Nothing in these Terms removes any cancellation, refund, or consumer right provided by applicable law.

10. Third-Party Services

The Services may depend on or interact with third-party services, including:

  • Google and Firebase
  • Google Play
  • Apple and the Apple App Store
  • Hosting and database providers
  • Analytics providers
  • Other technical service providers

Your use of a third-party service may also be governed by that provider's terms and privacy policy.

ExpenseCount does not control third-party systems and cannot guarantee their availability, security, policies, or independent actions.

If you download an ExpenseCount app through an app store, the applicable app store terms may also apply. Mandatory app store terms will apply where required.

11. Service Availability and Account Suspension

We work to keep the Services available and reliable, but we cannot guarantee uninterrupted access.

The Services may occasionally be unavailable because of maintenance, updates, security work, technical problems, third-party interruptions, network failures, legal requirements, or circumstances outside our reasonable control.

You may need to install updates to continue using certain features. Older versions may stop working or may no longer receive security or feature updates.

We may restrict, suspend, or terminate access when we reasonably believe that:

  • You have materially violated these Terms
  • Your activity creates a legal, technical, or security risk
  • Your account is being used fraudulently or without authorization
  • Your use may harm ExpenseCount, another user, or a third party
  • Payment for a paid service has failed or been reversed
  • We are required to act by law or an app store provider
  • Continuing to provide the Services is no longer reasonably possible

Where appropriate and legally permitted, we may provide notice and an opportunity to resolve the issue.

You may stop using the Services at any time.

To request deletion of your account and associated personal information, contact admin@expensecount.com using the email address connected to your account. Data retention and deletion are explained in our Privacy Policy.

Deleting an app from your device does not automatically delete information stored in your online account.

12. Privacy

Our Privacy Policy explains how ExpenseCount collects, uses, stores, processes, and protects information when you use the Services.

By using the Services, you acknowledge that your information will be handled as described in the Privacy Policy.

The Privacy Policy forms part of these Terms. Nothing in these Terms limits any privacy right available to you under applicable law.

13. Intellectual Property

The Services, including their software, interfaces, features, designs, graphics, text, databases, logos, product names, and other original materials, are owned by or licensed to ExpenseCount. They are protected by applicable copyright, trademark, and other intellectual property laws.

Except for the limited right to use the Services under these Terms, no ownership right in ExpenseCount property is transferred to you.

You may not use the ExpenseCount, WeXpense, MessXpense, or MyXpense names, logos, branding, or designs in a way that suggests sponsorship, partnership, or endorsement without written permission.

You may send us suggestions or feedback. By doing so, you allow ExpenseCount to use that feedback to improve or develop the Services without payment or restriction. This does not give ExpenseCount ownership of your personal information or unrelated User Content.

14. Disclaimers and Limitation of Liability

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, ExpenseCount does not guarantee that:

  • The Services will always be available or uninterrupted
  • Every calculation or report will be error free
  • Information entered by users will be accurate
  • Every feature will work on every device
  • The Services will meet every user's individual needs
  • Stored information will never be lost or affected by a technical problem

To the maximum extent permitted by law, ExpenseCount and its directors, employees, contractors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential losses arising from the use of the Services.

This may include losses resulting from:

  • Incorrect or incomplete user-entered information
  • Expense calculations or settlement decisions
  • Loss of data
  • Service interruptions
  • Actions of group participants
  • Unauthorized account access
  • Third-party services
  • Decisions made using information from the Services

Nothing in these Terms excludes or limits liability that cannot legally be excluded, including liability resulting from fraud, willful misconduct, or another matter that applicable law does not allow us to exclude.

Where liability cannot be excluded, it will be limited only to the extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless ExpenseCount, its officers, directors, employees, contractors, and service providers from any claim, loss, liability, damage, or expense, including reasonable legal fees, arising out of or related to:

  • Your use or misuse of the Services
  • Your User Content
  • Your violation of these Terms
  • Your violation of any applicable law
  • Your violation of another person's rights, including privacy or intellectual property rights
  • Information you provide about other group participants

ExpenseCount reserves the right to assume the exclusive defense of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with that defense.

16. International Use and Compliance

The Services are available to users in many countries. You are responsible for ensuring that your use of the Services complies with the laws that apply to you where you live.

You agree that you will not use the Services if you are located in a country, or are otherwise subject to sanctions, export control laws, or other restrictions that would prohibit your use of the Services under applicable law.

ExpenseCount makes no representation that the Services are appropriate or available for use in every location. If you choose to use the Services from outside the countries where they are primarily offered, you do so on your own initiative and are responsible for compliance with local laws.

17. Governing Law, Disputes, and Changes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles.

Before beginning formal legal proceedings, you and ExpenseCount agree to make a reasonable effort to resolve the issue informally. You may contact us at admin@expensecount.com and explain the problem.

The courts located in Ontario, Canada will have non-exclusive jurisdiction over disputes related to these Terms. This does not remove any mandatory consumer right or legal protection available in the country, state, or province where you live.

We may update these Terms to reflect changes to the Services, business practices, app store requirements, or applicable laws.

When we update the Terms, we will revise the Effective Date at the top of the page. If a change materially affects your rights or use of the Services, we may provide additional notice through the website, an app notification, email, or another appropriate method.

Your continued use of the Services after updated Terms take effect means that the updated Terms will apply to your future use of the Services.

If any part of these Terms is found to be invalid or unenforceable, the remaining sections will continue to apply.

If ExpenseCount does not immediately enforce a provision, that does not mean we give up the right to enforce it later.

18. Entire Agreement and Assignment

These Terms, together with our Privacy Policy, make up the entire agreement between you and ExpenseCount regarding your use of the Services, and replace any earlier agreements or understandings on this subject.

You may not assign or transfer your rights or obligations under these Terms without our written consent. ExpenseCount may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law, without needing your consent.
